Please read these Terms of Use (Terms) carefully before using the www.huisafrica.com Services operated by Huis Africa Limited. These Terms apply to all users of the Services. Your access to and use of the Services and related services is conditioned on your acceptance of and compliance with these Terms and by accessing these Services you agree to be bound by the following Terms of Use, as updated from time to time.

Huis Africa Services

• We connect sellers/landlords and buyers/tenants using our online platform as well as face to face engagements.
• We act as brokers for sellers/landlords who list on our Services and lend our expertise in helping them find their ideal buyers/tenants.
• We offer property/facilities management, valuation & data analysis as well as real estate advisory.

General Terms

• You must be at least 18 years to use our services.
• You must be in compliance with our Terms of Use.
• You agree not to reproduce, modify, distribute, display or otherwise provide access to, decompile, create derivative works from or reverse engineer any information provided on this Services.
• The content that is made available on our Services is owned by us (or our suppliers).
• You agree not to remove or modify any copyright or other intellectual property that appear on this Services.
• You agree not to use this Services in any way that is unlawful, harms Huis Africa Limited, its clients, suppliers, service providers or other users.
• Unless otherwise mutually agreed in writing, our Services are offered only for your use and not for the use or benefit of any third party; and in any event, each person receiving the benefit of our Services must agree to and be bound by these Terms as a precondition to our obligations.
• Those who access our Services from other jurisdictions do so at their own volition and it behooves them to ensure compliance with local law.
• This Services makes use of Google Maps web mapping service. Your use of Google Maps is subject to Google’s Terms of Use, available at http://www.google.com/intl/en_us/help/terms_maps.html
• This Services provides phone numbers that connects you with Huis Africa Limited.

Property Listing

The properties listed on this Services and information on such properties have been captured as they appear or have been communicated as at the date of field inventory by Huis Africa Limited. Huis Africa shall not be held liable or responsible for alterations or modifications made on the structure or changes in the amenities/fixtures made after the said date. Pictures and videos of properties broadcast on this Services are for information purposes only, and the building sketches are merely intended to give the general layout and configuration of the properties. Huis Africa shall not be held liable or responsible, either directly or indirectly for (i) latent defects within listed properties such as rot (ii) inherently unsuitable or dangerous materials (iii) improperly built properties (iv) contamination, although these are assumed not to be the case.

Account

You will be required to open an account in order to utilize certain services. You shall not in creating such account provide information (i) with the intent of impersonating or misrepresenting another person or entity (ii) that is offensive, vulgar or obscene. It is your sole responsibility to keep your account information confidential; you may however notify us immediately of any change in your eligibility to use the account, any breach of security or unauthorized assess of your account.

License Grant

On condition of compliance with these Terms, Huis Africa Limited grants each user of its services a non-exclusive, non-sublicensable and non-transferable license to access and use the services therein for personal, non-commercial purposes. Use of the content therein for any other purposes is expressly prohibited without written permission from us. You shall not sell, license, rent, share, publish or otherwise use or exploit any Content outside the Services for commercial use, in connection with the provision of services to a third party, or in any way that violates any third party right. Without limiting the foregoing, no real estate agent, salesperson, broker or similar real estate professional may market or make commercial use of the Content in any way, including without limitation, advertising our property listings, copying our Content for commercial use, or contacting our customers or the owners or sellers of any properties listed on the Services.

Availability of Content

Huis Africa Limited does not guarantee that any Content will be made available through the Services. We reserve the right, but not the obligation, to (i) remove, edit, or modify any Content at our sole discretion, at any time, without notice to you and for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Content or if we are concerned that you may have violated these Terms), or for no reason at all, and (ii) remove or block any Content from the Services.

Expression of Interest

All interest in renting/purchasing properties listed on our Services must be made through Huis Africa Limited. Huis Africa Limited shall not be held responsible for loss or damage which arises from direct negotiations with property owners or persons claiming to be acting on their behalf. This however is without prejudice to the right of Huis Africa to recover its agency fee from the effective rent/purchase in such instances.

Links to Other Services

Our Services may contain links to third party Services that are not owned or controlled by Huis Africa Limited. Huis Africa Limited has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party Services. You further acknowledge and agree that Huis Africa Limited shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

Use of Information

If you wish to procure any of our services outlined therein, you may be asked as a first step to supply certain information relevant to your request, including but not limited to property title documentation, property location, e-mail address, and phone number. By using these Services, you agree to Huis Africa’s use of the information so provided in responding to your request.

Copyright Infringement

Huis Africa Limited respects the intellectual property rights of others, and therefore encourages you to notify us by e-mail if you notice that your work or that of others has been reproduced on our Services in a way that constitutes copyright infringement. Such notice must be supported with identification of the subject matter of the claim, a sworn statement detailing the claim and contact details. Huis Africa shall take steps to investigate and resolve such claims.

Changes

Huis Africa Limited reserves the right, at our sole discretion, to modify or replace these Terms at any time. Any modification will be effective immediately upon posting to the Huis Africa website, and your continued use of these Services after such modification shall be deemed as acceptance of and agreement to such modifications. Huis Africa is not bound to notify you of modifications in these Terms and by your use of these Services you waive any right you may have to receive notice of such changes.

Disclaimer

Unless we have a signed agreement with you that states otherwise, we have no special relationship with or fiduciary duty to you. You acknowledge and agree that we have no duty to take any action regarding: which users gain access to the Services; what Content you access via the Services; or how you may interpret or use the Content.

Indemnification

You agree to indemnify Huis Africa, its founders, partners, officers, employees, representatives and agents from all claims, demands and damages arising out of your breach of these Terms, your violation of any law or the rights of a third party, or any submission made through your Huisafrica user account or that you otherwise make available through the Services. You acknowledge that all content accessed by you using the Services is at your own risk and that you shall be solely responsible for any damage or loss to you or any other party resulting therefrom.

Arbitration

You agree that all disputes between you and us (whether or not such dispute involves a third party) with regard to your relationship with us, including, without limitation, disputes related to these Terms, your use of the Services, and/or right of privacy or publicity, shall be resolved by binding, individual arbitration under the Ghanaian Arbitration Law and you and we hereby expressly waive Trial of any kind.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of Ghana.
